1. Introduction
Welcome to RTA Services US (“we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern all agreements and services provided by RTA Services, registered in Berlin, Germany. By engaging our services or visiting our website (www.rta-services.com), you agree to be bound by these Terms.

2. Scope of Services
RTA Services is a marketing agency that provides marketing, digital strategy, and creative solutions to business clients (“Client,” “you,” or “your”). The specific services, deliverables, and fees are defined in each individual contract or proposal agreed upon between RTA Services and the Client.

3. Engagement and Contracts
All services commence only after both parties have signed a written agreement or accepted a proposal in writing (including by email). The signed contract or proposal outlines the scope of work, timeline, and associated fees.

4. Fees and Payment Terms
All fees are quoted in euros (€) unless stated otherwise. Payment terms are specified in the signed contract or invoice. Payments must be made to the bank account designated by RTA Services. Late payments may incur interest as permitted by applicable German law.

5. No Refund Policy
Once a contract has been signed and services have begun, payments made to RTA Services are non-refundable. This includes cases where the Client chooses to terminate the project before completion.

6. Client Responsibilities
The Client agrees to provide all necessary information, materials, and approvals required for the execution of services in a timely manner. RTA Services is not responsible for delays or performance issues arising from the Client’s failure to provide required input or cooperation.

7. Intellectual Property
Unless otherwise agreed in writing, RTA Services retains ownership of all concepts, materials, and intellectual property created during the project until full payment has been received. Upon full payment, the Client obtains the right to use the final deliverables for the agreed purposes only.

8. Confidentiality
Both parties agree to maintain strict confidentiality regarding all non-public business, technical, and financial information shared during the course of the engagement.

9. Limitation of Liability
RTA Services shall not be held liable for any indirect, incidental, or consequential damages arising out of or related to the services provided. Our total liability in any matter related to the services will not exceed the total amount paid by the Client for those specific services.

10. Termination
Either party may terminate the agreement with written notice if the other party materially breaches its obligations and fails to remedy the breach within 14 days of receiving written notice.

11. Governing Law and Jurisdiction
These Terms and any disputes arising from them are governed by the laws of the Federal Republic of Germany. The exclusive place of jurisdiction shall be Berlin, Germany.

12. Amendments
RTA Services reserves the right to update or amend these Terms at any time. Any changes will be posted on our website, and continued use of our services constitutes acceptance of those changes.
